Intelligent Syndicate is a paid media and social media agency offering services to business clients, including but not limited to:

• Paid media strategy and campaign management (Meta Ads, and other platforms).
• Organic social media content creation and management.
• Performance analytics and reporting.
• Creative production for advertising purposes.
• Growth strategy consulting.

The specific scope, deliverables, pricing, and timeline for any engagement are set out in a separate written agreement or Statement of Work ("SOW") signed by both parties. These Terms apply to all such engagements unless superseded by the SOW.

03. Eligibility

The Site and our services are intended for business entities and individuals acting in a professional or commercial capacity. By using the Site, you represent that you are at least 18 years of age and have the legal authority to bind any entity on whose behalf you act.

04. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Site. You must not:

• Use the Site for any fraudulent, deceptive, or unlawful purpose.
• Attempt to gain unauthorised access to any part of the Site or its underlying infrastructure.
• Transmit any harmful, offensive, or disruptive code or content.
• Scrape, harvest, or collect data from the Site without our written permission.
• Reproduce, duplicate, copy, or resell any part of the Site in violation of these Terms.

We reserve the right to terminate access to the Site for any user who violates these Terms.

05. Client Engagements

All client engagements begin with a signed SOW or equivalent written agreement. No engagement is effective until such an agreement is fully executed. Submitting an inquiry form on the Site does not create a contractual obligation on either party.

We reserve the right to decline any prospective engagement at our sole discretion.

Clients are responsible for ensuring that all materials, assets, and information provided to us are accurate, lawful, and do not infringe any third-party rights. We shall not be liable for any claim arising from client-supplied materials.

06. Payment & Refunds

Payment terms, retainer amounts, and invoicing schedules are set out in the applicable SOW or service agreement. Unless otherwise agreed in writing:

• Invoices are due within the timeframe specified in the SOW.
• Retainer fees are non-refundable once the applicable service period has commenced.
• Ad spend budgets managed on behalf of the client are separate from agency fees. Clients are responsible for funding their own ad accounts.
• Late payments may be subject to interest or suspension of services as specified in the SOW.

Refund eligibility for any pre-paid fees not yet earned is determined on a case-by-case basis and subject to the terms of the applicable SOW.

07. Intellectual Property

Our content

All content on this Site — including but not limited to text, graphics, logos, icons, and the overall design — is owned by or licensed to Intelligent Syndicate and is protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our prior written consent.

Work product

Ownership of deliverables created during a client engagement (e.g., creative assets, copy, strategic documents) is governed by the applicable SOW. In the absence of an explicit assignment in the SOW, Intelligent Syndicate retains ownership of all work product until all outstanding fees have been paid in full, at which point a licence or assignment is granted as specified.

Client materials

You grant us a limited, non-exclusive licence to use materials you provide (e.g., brand assets, logos, product images) solely for the purpose of delivering the agreed services.

08. Confidentiality

Both parties acknowledge that in the course of an engagement they may receive confidential information. Each party agrees to keep such information confidential and not to disclose it to third parties without the other party's prior written consent, except as required by law. Confidentiality obligations survive termination of any engagement for a period of two (2) years unless a longer period is specified in the SOW.

09. Disclaimer of Warranties

The Site and all information on it are provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

We do not guarantee any specific business outcomes, revenue, return on ad spend, or other results from our services. Advertising results depend on many factors outside our control, including platform algorithm changes, market conditions, and client-side factors.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Intelligent Syndicate and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, including but not limited to lost profits, lost revenue, or lost data.

Our aggregate liability to any client for claims arising from a specific engagement shall not exceed the total fees paid by that client in the three (3) months preceding the claim, unless the applicable SOW specifies a different cap.

11. Changes to Terms

We reserve the right to update these Terms at any time. We will revise the "Last updated" date above when we do so. For material changes, we will make reasonable efforts to notify you. Continued use of the Site after updated Terms are posted constitutes acceptance of the revised Terms.

12. Governing Law
